The deal between us.

1. The service

Spendyard is a hosted spend-management product operated by Spendyard. These terms govern your use of the website, the application, and the related APIs (collectively, the "service"). If you're using Spendyard on behalf of a company, you confirm you're authorized to bind that company to these terms.

2. Accounts

You need an account to use the service. Keep your sign-in credentials secure — you're responsible for activity under your account. Tell us promptly at hello@spendyard.com if you suspect unauthorized access. We may suspend accounts that materially violate these terms or threaten the service.

3. Acceptable use

• Don't break the law or infringe anyone's rights with it.
• Don't probe, scrape, reverse engineer, or try to disrupt the service or its other users.
• Don't upload malware, illegal content, or data you don't have the right to share.
• Don't use the service to send unsolicited bulk email or abusive messages.

4. Your content

The vendors, receipts, notes, and other data you put into Spendyard remain yours. You grant us the limited license needed to host, process, transmit, back up, and display that data so we can run the service for you. We don't sell your content and we don't use it to train third-party AI models.

5. Plans and billing

Paid plans renew automatically for the period you selected until cancelled. Fees are stated on the pricing page or in your order, are charged in advance, and are non-refundable except where required by law. We can change pricing with reasonable notice — material changes won't apply until your next renewal. You're responsible for any taxes that apply to your purchase.

6. Third-party services

Spendyard relies on processors listed in our privacy policy (sign-in, hosting, email, AI helpers). Their availability and terms may affect the service. We pick reputable vendors but we're not responsible for their independent acts or outages beyond our reasonable control.

7. Intellectual property

The Spendyard software, design, and brand are ours (or our licensors'). These terms don't grant you any rights in them beyond using the service as intended. Feedback you send us may be used to improve the product without obligation to you.

8. Termination

You can stop using the service at any time and delete your workspace from settings. We can terminate or suspend access if you materially breach these terms, fail to pay, or use the service in a way that creates legal or security risk. After termination, we'll keep your data for a short window so you can export it, then delete it.

9. Warranty disclaimer

The service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or perfectly accurate.

10. Limitation of liability

To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability to you for any claim arising out of these terms or the service is capped at the fees you paid us in the twelve months before the claim.

11. Indemnity

You agree to defend and indemnify Spendyard against third-party claims arising from your content, your use of the service in violation of these terms, or your violation of any law or third-party right.

12. Changes

We may update these terms from time to time. If a change is material, we'll update the date at the top of this page and give active workspaces reasonable notice by email before it takes effect. Your continued use after the effective date means you accept the updated terms.

13. Governing law

These terms are governed by the laws of Norway, without regard to conflict-of-law rules. The courts of Oslo, Norway have exclusive jurisdiction over any dispute arising out of these terms or the service, except where mandatory consumer protection laws of your country of residence apply.
